1. Acceptance of Terms

By downloading, installing, or using Surraura ("the Application"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Application. Mental Audio AS ("we", "us", or "the Company") reserves the right to modify these terms at any time, and your continued use of the Application constitutes acceptance of any modifications.

2. Description of Service

Surraura is a macOS application that processes system audio in real-time, applying spatial audio effects including convolution reverb, room simulation, device emulation, and ambient soundscapes. The Application captures audio from your system, processes it locally on your device, and outputs the modified audio through your speakers or headphones.

3. System Requirements and Third-Party Software

The Application requires macOS 12.0 (Monterey) or later and the BlackHole virtual audio driver for audio capture functionality. BlackHole is third-party open-source software not developed or maintained by Mental Audio AS. You are responsible for:

• Installing and configuring BlackHole correctly
• Ensuring your system meets the minimum requirements
• Properly configuring your audio routing (Multi-Output Device)
• Understanding that third-party software is governed by its own license terms

4. Audio Processing Disclaimer

You acknowledge and agree that:

• You are solely responsible for monitoring and controlling audio volume levels
• Audio effects may amplify or alter sound in unexpected ways
• Convolution reverb and spatial effects can increase perceived loudness
• You will use appropriate hearing protection when necessary
• The Application should not be used while operating vehicles or machinery

5. Hardware and Software Disclaimer

Mental Audio AS expressly disclaims any responsibility for:

• Damage to speakers, headphones, amplifiers, or other audio equipment
• Damage to computer hardware or peripherals
• Software conflicts with other applications or system components
• Audio driver issues or system instability
• Data loss or corruption
• Incompatibility with specific hardware or software configurations

The Application processes audio in real-time, which requires significant CPU resources. We are not responsible for system performance issues, overheating, or battery drain that may occur during use.

6. Subscription and Billing

The Application offers subscription-based access to premium features. Payment processing is handled by Paddle.com ("Paddle"), our merchant of record. By subscribing, you agree to:

• Paddle's terms of service for payment processing
• Recurring billing at the interval you select (monthly or yearly)
• Providing accurate payment information
• Timely payment of all fees

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. See our Refund Policy for details on refunds.

7. Intellectual Property

The Application, including its code, design, graphics, impulse responses, ambient sounds, and documentation, is the intellectual property of Mental Audio AS and is protected by copyright and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Application for personal, non-commercial purposes. You may not copy, modify, distribute, sell, or reverse engineer any part of the Application.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MENTAL AUDIO AS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE APPLICATION. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AUDIO QUALITY, LATENCY, AND COMPATIBILITY MAY VARY BASED ON YOUR SYSTEM CONFIGURATION.

10. Termination

We reserve the right to suspend or terminate your access to the Application at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your license to use the Application immediately ceases, and you must uninstall and destroy all copies of the Application in your possession.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Norway, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Application shall be subject to the exclusive jurisdiction of the courts of Norway.
